Section 01

Introduction

Welcome to Dan AI. These Terms of Service ("Terms") govern your access to and use of the Dan AI mobile application (the "App"), operated by Martell Growth Solutions Inc. ("we," "us," or "our"), located at 101-1865 Dilworth Drive, Suite 394, Kelowna, BC V1Y 9T1, Canada.

Dan AI is an AI-powered coaching companion that delivers personalized business coaching based on Dan Martell's proven frameworks for scaling companies. The App is powered by Buddy Pro technology and is available on iOS and Android.

By downloading, installing, creating an account, or otherwise using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

Section 02

Eligibility

To use Dan AI, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the App, you represent and warrant that you meet these requirements.

Each individual or entity may maintain only one account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Section 03

Account & Access

Access to Dan AI requires an active Dan AI subscription and a valid activation code provided with your subscription. You may create an account using your email address or through a supported third-party sign-in service (such as Apple Sign-In or Google Sign-In).

You are responsible for keeping your login credentials secure. You must notify us immediately at support@danmartell.com if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised or is being used in violation of these Terms.

Section 04

Service Description

Dan AI provides an AI-powered business coaching experience. The App uses artificial intelligence to deliver personalized coaching advice, strategies, and frameworks based on Dan Martell's methodology for scaling businesses.

Key features of the service include:

• AI coaching conversations — text-based and voice-based interactions with an AI coach trained on Dan Martell's frameworks.
• Personalized guidance — coaching tailored to your business profile, goals, and industry.
• Persistent memory — the AI retains context across sessions to provide continuity in your coaching experience.
• Multimedia support — ability to share images, files, and voice messages within coaching conversations.

We reserve the right to modify, update, or discontinue any feature of the App at any time, with or without notice, as we continue to improve the service.

Section 05

Subscriptions & Payments

Dan AI requires a paid subscription. Subscriptions are managed externally (outside the App) through third-party payment processors such as Stripe. Subscription pricing, billing cycles, and payment terms are provided at the time of purchase.

• Billing — your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• Cancellation — you may cancel your subscription at any time. Upon cancellation, you will retain access to the App until the end of your current billing period. No partial refunds are provided for unused portions of a billing cycle.
• Refunds — refund requests are handled on a case-by-case basis. To request a refund, contact us at support@danmartell.com.
• Price changes — we reserve the right to change subscription pricing. You will be notified in advance of any price changes, and your continued use of the App after the effective date constitutes acceptance of the new pricing.

We do not directly collect or store your credit card number or payment details within the App. All payment processing is handled by our third-party payment providers.

Section 06

User Conduct

When using Dan AI, you agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the App, other user accounts, or any systems or networks connected to the service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or its underlying technology.
• Use the App to transmit malicious code, viruses, or any harmful software.
• Resell, redistribute, sublicense, or provide access to the App to any third party without our prior written consent.
• Use automated tools, bots, or scripts to access or interact with the App except through the interfaces we provide.
• Submit content that is abusive, harassing, threatening, defamatory, or otherwise objectionable.
• Misrepresent your identity or affiliation with any person or entity.

We reserve the right to suspend or terminate your account for violations of these conduct standards, at our sole discretion and without prior notice.

Section 07

Intellectual Property

The App, including its design, code, features, content, frameworks, coaching methodologies, trademarks, and branding, is the property of Martell Growth Solutions Inc. and its licensors. All rights are reserved.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or internal business purposes only. This license does not include the right to:

• Copy, modify, or create derivative works based on the App or its content.
• Use Dan Martell's name, likeness, trademarks, or proprietary frameworks outside of your personal coaching experience.
• Record, reproduce, or distribute AI coaching conversations for commercial purposes.

You retain ownership of the content you submit to the App (such as messages and files). By submitting content, you grant us a limited license to process, store, and use that content solely to provide and improve the service.

Section 08

AI-Generated Content

Dan AI uses artificial intelligence to generate coaching responses. While the AI is trained on Dan Martell's proven business frameworks, you acknowledge and agree that:

• Not professional advice — AI-generated responses are for informational and educational purposes only. They do not constitute legal, financial, tax, medical, or other professional advice. You should consult qualified professionals for specific professional guidance.
• No guarantee of accuracy — while we strive for high-quality responses, AI-generated content may occasionally be inaccurate, incomplete, or not applicable to your specific situation.
• Your responsibility — you are solely responsible for evaluating and acting upon any information or recommendations provided by the AI coach. Any decisions you make based on AI-generated content are at your own risk.
• Not a substitute for human coaching — Dan AI is a supplemental tool designed to enhance your business growth journey. It is not a replacement for direct human coaching or mentorship.

Section 09

Disclaimers

The App is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The App will be available at all times, uninterrupted, or error-free.
• The results obtained from using the App will be accurate or reliable.
• Any defects or errors in the App will be corrected within a specific timeframe.
• The App will meet your specific requirements or expectations.

You acknowledge that the use of AI technology involves inherent risks, including the possibility of receiving incorrect or misleading information. You use the App at your own discretion and risk.

Section 10

Limitation of Liability

To the maximum extent permitted by applicable law, Martell Growth Solutions Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the App.

Our total aggregate liability for any claims arising out of or related to these Terms or your use of the App shall not exceed the total amount you have paid to us for your subscription in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Section 11

Termination

You may stop using the App and cancel your subscription at any time. Upon cancellation, your access will continue until the end of your current billing period.

We may suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or any applicable law.
• Fraudulent, abusive, or illegal activity.
• Non-payment of subscription fees.
• Conduct that we reasonably believe is harmful to other users, third parties, or our business.

Upon termination, your right to use the App ceases immediately. We may delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and governing law.

Section 12

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kelowna, British Columbia, Canada. You agree to submit to the personal jurisdiction of such courts.

Section 13

Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will revise the "Effective date" at the top of this page and notify you through the App or by email for material changes.

Your continued use of Dan AI after the posting of revised Terms constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
